Welcome to VIPparcel (“VIPparcel,” “Company,” “we,” “our,” or “us”). These Terms and Conditions (“Agreement”) govern access to and use of the VIPparcel website, platform, software, shipping services, postage purchasing services, APIs, integrations, and related services available through VIPparcel (collectively, the “Services”).
By accessing or using the Services, creating an account, purchasing postage, generating shipping labels, tendering shipments, or otherwise using the Services, you (“Customer,” “User,” or “you”) agree to be legally bound by this Agreement.
If you do not agree to these Terms and Conditions, you may not use the Services.
You represent and warrant that:
- You are at least eighteen (18) years old;
- You have legal authority to enter into this Agreement;
- If acting on behalf of a business or entity, you have the authority to bind that entity;
- All information provided to VIPparcel is accurate, current, and complete;
- You will comply with all applicable laws, regulations, carrier requirements, and USPS Domestic Mail Manual requirements.
VIPparcel reserves the right to refuse service to any person or entity at any time, for any lawful reason, in its sole discretion.
VIPparcel operates as a postage reseller and shipping technology provider that enables Users to:
- Purchase and print USPS, UPS, FedEx, and other carrier shipping labels;
- Access discounted postage and shipping rates;
- Utilize shipping software and integrations;
- Participate in package sorting and zone-skipping logistics services;
- Access related shipping and logistics tools.
VIPparcel is not a common carrier, freight carrier, delivery company, or insurer.
VIPparcel does not physically transport shipments and is not responsible for carrier transportation services performed by USPS, UPS, FedEx, or any third-party carrier.
To access certain Services, you must create an account.
You agree to:
- Maintain accurate registration information;
- Keep login credentials confidential;
- Immediately notify VIPparcel of unauthorized account use;
- Accept responsibility for all activities occurring under your account.
VIPparcel reserves the right to:
- Reject applications;
- Suspend or terminate accounts;
- Require identity verification;
- Restrict account access;
- Hold or delay transactions for fraud review.
VIPparcel may require identity verification at any time, including but not limited to:
- Government-issued identification;
- Business formation documents;
- Proof of address;
- Tax identification documentation;
- Payment verification documentation.
Failure to provide requested documentation may result in:
- Delayed transactions;
- Account suspension;
- Account termination;
- Funds are being held pending investigation.
VIPparcel reserves the right to cooperate with law enforcement agencies, regulatory authorities, carriers, payment processors, and government entities. VIPparcel reserves the right to disclose any information required by law to these entities without notifying the customer.
Accepted payment methods may include:
- Credit cards;
- Debit cards;
- ACH transfers;
- PayPal;
- Approved business checks;
- Other payment methods approved by VIPparcel.
VIPparcel may change accepted payment methods at any time.
By providing payment information, you authorize VIPparcel to:
- Charge all purchases, fees, adjustments, corrections, penalties, carrier surcharges, and balances due;
- Process automatic payments;
- Initiate ACH debits where authorized;
- Recover outstanding balances.
You agree not to initiate improper chargebacks or payment reversals for valid Services rendered.
All postage and shipping charges are subject to:
- USPS Automated Package Verification (APV);
- UPS audit adjustments;
- FedEx billing corrections;
- Carrier dimension/weight adjustments;
- Residential surcharges;
- Address corrections;
- Fuel surcharges;
- Additional carrier fees.
VIPparcel reserves the right to:
- Charge 10% penalty on all underpaid shipments;
- Take a deposit for future underpayments, prohibited mail class use, and other violations;
- Debit or credit Customer accounts accordingly;
- Charge payment methods on file for carrier adjustments received after shipment processing.
Carrier determinations shall be final unless reversed by the applicable carrier.
Returned payments, failed ACH transactions, reversed payments, or declined cards may result in:
- Immediate account suspension;
- Service interruption;
- Additional processing fees;
- Collections activity;
- Legal action.
VIPparcel reserves the right to recover all costs of collection, including attorneys’ fees, collection fees, and court costs where permitted by law.
You are solely responsible for:
- Accurate shipment information;
- Correct package dimensions and weight;
- Proper packaging;
- Correct addresses;
- Compliance with carrier rules;
- Compliance with all applicable laws and regulations.
You acknowledge that inaccurate shipment data may result in:
- Carrier penalties;
- Additional charges;
- Delays;
- Package returns;
- Seizures;
- Disposal by carriers or authorities.
Use of the Services is subject to the VIPparcel Acceptable Use & Prohibited Items Policy, incorporated herein by reference.
VIPparcel reserves the right to:
- Refuse shipments;
- Suspend accounts;
- Cancel labels;
- Freeze funds and charge penalties;
- Report suspected violations to authorities.
VIPparcel’s responsibilities end once a shipping label is generated or a shipment is tendered to the applicable carrier or logistics network.
VIPparcel is not responsible for:
- Delivery failures;
- Delayed deliveries;
- Carrier service interruptions;
- Customs delays;
- Package loss;
- Theft;
- Damage in transit;
- Weather events;
- Carrier scanning failures;
- Carrier errors;
- Government actions;
- Force majeure events.
Carrier terms and conditions apply independently to all shipments.
VIPparcel does not guarantee:
- Delivery dates;
- Transit times;
- Carrier acceptance;
- Rate availability;
- Savings amounts;
- Service availability;
- Carrier performance.
Shipping rates and discounts may change at any time without notice.
The Services are provided on an “as available” and “as is” basis.
VIPparcel does not guarantee:
- Continuous uptime;
- Error-free operation;
- Compatibility with third-party systems;
- Availability of carrier APIs;
- Uninterrupted access.
VIPparcel may:
- Modify features;
- Suspend services;
- Perform maintenance;
- Restrict functionality;
without prior notice.
All platform content, software, branding, logos, designs, workflows, systems, and technology are the exclusive property of VIPparcel or its licensors.
You may not:
- Copy;
- Reverse engineer;
- Scrape;
- Resell;
- Reproduce;
- Modify;
- Distribute;
- Exploit;
the Services or platform without written permission.
VIPparcel reserves the right to:
- Monitor transactions;
- Investigate suspicious activity;
- Delay or cancel shipments;
- Freeze balances;
- Request additional verification.
Fraudulent activity, abuse, unauthorized payment disputes, or unlawful use may result in:
- Immediate account termination;
- Legal action;
- Reporting to law enforcement;
- Civil recovery efforts.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIPPARCEL SHALL NOT BE LIABLE FOR:
- INDIRECT DAMAGES;
- INCIDENTAL DAMAGES;
- CONSEQUENTIAL DAMAGES;
- SPECIAL DAMAGES;
- PUNITIVE DAMAGES;
- LOST PROFITS;
- LOST BUSINESS;
- LOST DATA;
- BUSINESS INTERRUPTION;
- LOSS OF GOODWILL.
VIPPARCEL’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO VIPPARCEL DURING THE THIRTY (30) DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY.
You agree to defend, indemnify, and hold harmless VIPparcel and its officers, directors, employees, contractors, agents, affiliates, and partners from and against any claims, liabilities, damages, penalties, fines, losses, costs, and expenses arising from:
- Your use of the Services;
- Your shipments;
- Violation of law;
- Violation of carrier requirements;
- Fraudulent activity;
- Improper package contents;
- Customs violations;
- Intellectual property claims;
- Payment disputes;
- Breach of this Agreement.
VIPparcel shall not be liable for delays, interruptions, or failures caused by events beyond its reasonable control, including:
Natural disasters;
Weather events;
- Fires;
- Floods;
- Strikes;
- Carrier disruptions;
- Cyberattacks;
- Government actions;
- Customs delays;
- War;
- Terrorism;
- Pandemics;
- Infrastructure failures;
- Power outages.
VIPparcel may suspend or terminate access to the Services at any time, with or without notice, for any reason, including suspected fraud, abuse, nonpayment, prohibited shipments, or violations of this Agreement.
Customer remains responsible for all outstanding balances and carrier adjustments incurred prior to termination.
You consent to receive communications electronically, including:
- Notices;
- Invoices;
- Policy updates;
- Service announcements;
- Legal communications.
Electronic communications satisfy legal requirements for written notice.
VIPparcel may update or modify these Terms and Conditions at any time.
Updated versions become effective upon posting to the website.
Continued use of the Services constitutes acceptance of revised Terms.
PLEASE READ THIS SECTION CAREFULLY.
Any dispute, claim, or controversy arising from or relating to this Agreement or the Services shall be resolved exclusively through binding arbitration administered in Pennsylvania under the Federal Arbitration Act.
You waive:
- The right to a jury trial;
- The right to participate in class actions;
- The right to participate in representative proceedings.
Arbitration shall occur on an individual basis only.
If arbitration is found unenforceable, exclusive jurisdiction shall lie in the state or federal courts located in Pennsylvania.
This Agreement shall be governed by and construed under the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.
If any provision of this Agreement is determined unenforceable, the remaining provisions shall remain in full force and effect.
This Agreement, together with all referenced policies and agreements, constitutes the entire agreement between Customer and VIPparcel regarding the Services and supersedes prior agreements or understandings.
